Platform – Terms of Use

These Terms of Use govern access to and use of the website, software, systems, tools, portals, applications, content and related digital services operated by Concept Clinics Australia Pty Ltd ABN 57 642 637 401 trading as nursable (“nursable”, “we”, “our” or “us”) (together, the Platform).

By accessing or using the Platform, you agree to these Terms of Use and our Privacy Policy. If you do not agree, you must not use the Platform.

1. Who we are

nursable is a digital platform and service provider supporting aesthetic and healthcare professionals, clinics and related users through a range of business, educational, compliance, support, software and related services.

Depending on availability and service type, the Platform may include or facilitate access to:

– platform tools and software;

– business support services;

– compliance support;

– clinical support resources;

– training and education;

– events and community features;

– product or ordering support;

– communications and support functions;

– practitioner support services; and

– other features, content, products or services made available from time to time.

Nothing on the Platform is intended to create a health practitioner-patient relationship unless expressly stated in connection with a particular service.

2. Your use of the Platform

2.1 Acceptance of these Terms of Use

Your use of the Platform is subject to these Terms of Use.

By using the Platform in any way, including browsing, creating an account, submitting information, accessing content, ordering products, booking services, participating in training, or using any feature or tool, you accept these Terms of Use.

We may update these Terms of Use from time to time by publishing a revised version on the Platform. Your continued use of the Platform after an update takes effect constitutes acceptance of the revised Terms.

2.2 Appropriate use of the Platform

You must use the Platform lawfully, responsibly and only for its intended purposes.

You must not use or attempt to use the Platform:

– for any unlawful, fraudulent or misleading purpose;

– in any way that breaches any applicable law, regulation, code or professional obligation;

– to upload or submit false, inaccurate or misleading information;

– to harass, abuse, threaten, defame, intimidate or discriminate against any person;

– to infringe the rights of nursable or any third party, including privacy, confidentiality, copyright, trade mark or other intellectual property rights;

– to scrape, copy, reproduce or exploit Platform content for commercial purposes without permission;

– to use the Platform in a way that could damage the reputation of nursable or other users; or

– to obtain goods or services for another person without appropriate authority.

We may, in our discretion and without notice where reasonably necessary:

– suspend, restrict or terminate your access to the Platform;

– remove content you upload or submit;

– disable your account;

– investigate suspected misuse; or

– refuse to provide access to features, products or services.

2.3 Indemnity

To the maximum extent permitted by law, you agree to indemnify and hold harmless nursable, its directors, officers, employees, contractors, advisers, service providers and related parties from and against claims, losses, damages, liabilities, costs and expenses arising out of:

– your misuse of the Platform;

– your breach of these Terms of Use;

– your breach of law or professional obligations; or

– your infringement of the rights of any third party.

3. Information you need to know

3.1 General disclaimer

Unless expressly stated otherwise, information and content on the Platform is provided for general information purposes only.

Content on the Platform:

– is not legal, financial, medical or other professional advice;

– is not a substitute for independent professional judgment;

– may not be suitable for your individual circumstances; and

– should not be relied on as the sole basis for decision-making.

You should obtain your own professional, legal, regulatory, financial, medical or clinical advice before acting on information made available through the Platform.

Where the Platform includes clinical, educational or compliance-related content, that content is general in nature unless expressly stated otherwise.

Where access to independent practitioners or third-party providers is facilitated through the Platform, those parties remain responsible for their own advice, services, clinical decisions, regulatory compliance and record keeping.

nursable does not warrant that:

– content on the Platform is complete, accurate, current or error-free;

– the Platform will always be available;

– the Platform will be free from defects, viruses or harmful components; or

– use of the Platform will achieve any particular result.

Your use of the Platform and reliance on any content is at your own risk.

3.2 Limitation of liability

Nothing in these Terms excludes, restricts or modifies any right or remedy conferred by the Australian Consumer Law or any other law that cannot lawfully be excluded.

Subject to that, and to the maximum extent permitted by law:

– nursable excludes all implied terms, guarantees, warranties and conditions not expressly stated in these Terms;

– nursable is not liable for any indirect, incidental, special or consequential loss;

– nursable is not liable for loss of profits, revenue, goodwill, opportunity, business interruption or loss of data;

– nursable is not liable for losses arising from reliance on Platform content;

– nursable is not liable for the acts or omissions of third-party providers, practitioners, suppliers, educators, software vendors, payment processors or delivery services; and

– where liability cannot be excluded, our liability is limited to resupplying the relevant service or the cost of resupplying it.

4. Your account

4.1 Eligibility for an account

To create and maintain an account on the Platform, you must:

– be authorised to use the Platform;

– provide true, accurate and complete information;

– keep your information current; and

– satisfy any eligibility criteria applicable to the relevant service.

If you create or use an account on behalf of another individual or business, you confirm that you have authority to do so.

We may determine eligibility for accounts, services or Platform access in our discretion.

4.2 Your responsibility for your account

You are responsible for:

– maintaining the confidentiality of your login details and password;

– all activity conducted through your account;

– notifying us promptly of any suspected unauthorised use or security breach; and

– ensuring information submitted through your account is accurate and complete.

We may assume that anyone using your credentials is authorised by you.

4.3 Closing your account

If you wish to close your account, you may contact us using the details below or use any account closure function made available on the Platform.

Closure of your account does not necessarily mean deletion of all associated data. We may retain information where required or permitted by law, for legitimate business purposes, dispute resolution, security, fraud prevention, professional obligations or record-keeping requirements.

5. Our content

5.1 Our intellectual property

Unless otherwise stated, the Platform and all content on it, including text, graphics, logos, images, design elements, software, downloads, course materials, training materials, branding and other materials, are owned by or licensed to nursable and are protected by applicable intellectual property laws.

The name nursable, and associated branding, logos and materials, may not be used without our prior written consent.

Your use of the Platform does not transfer any intellectual property rights to you.

5.2 Your use of our content

Subject to these Terms, we grant you a limited, non-exclusive, revocable, non-transferable licence to access and use the Platform for its intended personal or internal business purposes.

You must not, without our prior written consent:

– reproduce, copy, modify, republish or distribute Platform content;

– create derivative works from Platform content;

– use Platform content for resale or commercial exploitation;

– remove proprietary notices;

– frame or mirror the Platform on another website; or

– use our content in a misleading, derogatory or unauthorised way.

You may link to the public home page of our website in a fair and lawful way that does not suggest endorsement, partnership or affiliation where none exists. We may require you to remove a link at any time.

6. Third-party content and services

6.1 Third-party services on the Platform

The Platform may integrate with or make available third-party tools, software, messaging services, payment services, educational tools, booking systems, analytics tools, support widgets or other external services.

Your use of those third-party services may also be subject to the terms and policies of the relevant third party.

Those links are provided for convenience only. We do not control, endorse or assume responsibility for third-party content, websites, offers or services.

6.3 Social media and external platforms

If you interact with us through social media or other external platforms, your use of those platforms is subject to their own terms and privacy policies.

7. Your content

If you submit, upload, transmit or otherwise make content available through the Platform, including messages, enquiries, reviews, comments, forms, documents, images or other material (“Your Content”), you:

– represent that you have the right to provide that content;

– grant us a non-exclusive, worldwide, royalty-free licence to use, host, store, reproduce, adapt and communicate that content to the extent reasonably necessary to operate the Platform and provide the Services; and

This clause does not override our obligations in relation to personal information, health information or confidential information that we handle in accordance with our Privacy Policy and applicable law.

If any provision of these Terms is held to be invalid, unlawful or unenforceable, that provision will be read down or severed to the extent necessary, and the remaining provisions will continue in full force and effect.
